TERMS OF USE

PATH FINANCIAL (DBA MONEYMAP)

PLEASE READ CAREFULLY. BY ACCESSING OR USING THE WEBSITE, WEB APP, OR RELATED SERVICES (COLLECTIVELY, THE “SERVICES”), YOU AGREE TO THESE TERMS OF USE (“TERMS”). IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1) Introduction & Scope

These Terms are a binding agreement between you and Path Financial, Inc., a Delaware corporation based in California, doing business as Moneymap (“Moneymap,” “we,” “us,” “our”). These Terms govern your access to and use of the Services.

2) Research Preview; Non‑Advisory Notice

The Services are offered as a free research preview using an AI‑first approach supplemented by human review by a financial coach. The Services provide general educational information only and do not constitute personalized investment, legal, tax, or other professional advice. Moneymap is not operating as a Registered Investment Adviser, does not charge fees, and does not custody or manage assets. We encourage you to consult a licensed professional before making financial decisions. If Moneymap later transitions to a regulated advisory model with fees, updated terms will apply.

3) Eligibility & Account Security

You must be at least 18 years old to use the Services. You are responsible for your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4) Definitions

  • “Documents”: files or images you upload (e.g., bank/credit statements, pay stubs, tax returns, credit reports, investment statements).

  • “Outputs”: AI‑generated summaries, categorizations, and other analyses derived from your inputs and Documents.

  • “Other User Content”: content you provide that is not a Document (e.g., chat messages, feedback).

5) Uploads, Automated Analysis & Coach Sharing

By uploading Documents, you instruct and authorize Moneymap to:
(a) store and process Documents via automated systems (including OCR, classification, and summarization) to provide the Services; and
(b) share Documents and related Outputs with your assigned Moneymap coach and with service providers acting on our behalf to operate, secure, and support the Services.
You may delete Documents at any time from within your account or by contacting support (see Retention & Deletion below).

6) Your Ownership; Limited License to Moneymap

You retain ownership of your Documents and Other User Content. You grant Moneymap a non‑exclusive, royalty‑free, revocable license to host, use, reproduce, and display your Documents and Other User Content solely to (i) provide, maintain, troubleshoot, and secure the Services; (ii) comply with law; and (iii) prevent fraud or abuse. This license ends when the applicable content is deleted from our active systems, subject to backup and archival timelines described below and legal/recordkeeping obligations.
Moneymap may create and use de‑identified or aggregated data derived from Documents and Other User Content to improve and develop the Services, provided it cannot reasonably be used to identify you.

7) Sensitive Information; Prohibited Uploads; Third‑Party Rights

For your safety, do not upload unredacted Social Security numbers, full bank or card numbers, passwords, passcodes, or security answers. If such data appears, you agree to redact it prior to upload or accept the transmission/storage risk. You represent and warrant you have all necessary rights and permissions to upload the Documents and any personal information of third parties (including minors).

8) Fair‑Use & Regulated‑Use Restrictions (Credit/Employment/Housing/Insurance)

Moneymap is not a consumer reporting agency, and the Services (including any analysis of a credit report that you upload) do not create or furnish consumer reports. You must not use the Services or Outputs to determine a third party’s eligibility for credit, employment, housing, insurance, or for any other purpose regulated by consumer‑reporting laws or similar regulations.

9) Accuracy; User Verification

Automated extraction and analysis (including OCR) may be incomplete, outdated, or inaccurate. You are responsible for reviewing and verifying all values, categories, and interpretations before relying on them. The Services are educational and provided “as is.”

10) Retention, Deletion & Export

  • Active retention: Unless you delete sooner, Documents are retained in active systems for 90 days to support your coaching workflow.

  • Archival retention: After 90 days, Documents may be archived for up to 12 months to aid continuity of coaching and for operational integrity.

  • Backups: Backups may persist for up to 45 additional days.

  • Your deletion requests: Upon confirmed request, we will remove Documents from active systems within 15 days and from backups within 60 days, except where retention is required by law or (if Moneymap operates as an RIA in the future) by applicable books‑and‑records rules.

  • Export: You may request an export of your Documents in a commonly used format, subject to reasonable limits.

11) Security & Service Providers

We implement reasonable and appropriate administrative, technical, and physical safeguards for Documents in our custody. We use vetted service providers (e.g., cloud hosting, AI/model providers) that process Documents on our behalf under written agreements requiring confidentiality and appropriate security. No method of transmission or storage is 100% secure.

12) Model Training & Analytics

Moneymap does not use your Documents to train third‑party AI models without your explicit consent. We may use de‑identified data to improve Moneymap’s own models and features. You may opt out of de‑identified improvement uses by contacting support at [support@moneymap.io].

13) Acceptable Use

You agree not to:
(a) misuse, interfere with, or disrupt the Services; (b) reverse engineer or attempt to extract source code or datasets; (c) upload malware; (d) use the Services to violate law or third‑party rights; (e) attempt to re‑identify de‑identified data; (f) scrape or harvest data except as expressly permitted; or (g) use Outputs for any regulated decision‑making described in Section 8.

14) Feedback

If you provide feedback or suggestions, you grant Moneymap a perpetual, irrevocable, worldwide, royalty‑free license to use it without restriction or compensation.

15) Third‑Party Services & Links

The Services may reference or link to third‑party sites, tools, or content. Moneymap does not control or endorse third‑party offerings and is not responsible for them. Your use is subject to those third parties’ terms and policies.

16) Intellectual Property (Service Content)

The Services, including software, text, graphics, logos, and trademarks, are owned by Moneymap or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.

17) Changes to the Services; Beta Features

We may add, modify, or discontinue features at any time. Certain features may be identified as beta or experimental and may have additional limitations or be withdrawn without notice.

18) Modifications to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance.

19) Disclaimer of Warranties

THE SERVICES, OUTPUTS, AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE. WITHOUT LIMITATION, MONEYMAP DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AUTOMATED EXTRACTION (OCR), CATEGORIZATION, OR ANALYSIS OF DOCUMENTS OR ANY THIRD‑PARTY CONTENT.

20) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONEYMAP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT ANY LIABILITY IS FOUND, MONEYMAP’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITATIONS MAY NOT APPLY TO YOU.

21) Indemnification

You will indemnify and hold harmless Moneymap and its affiliates, officers, directors, employees, and agents from and against all liabilities, damages, losses, and costs (including reasonable attorneys’ fees) arising out of or related to: (a) your Documents or Other User Content (including claims you lacked rights or consents to upload or shared another person’s data without authorization); (b) your misuse of the Services or Outputs (including prohibited regulated uses); or (c) your violation of these Terms or applicable law.

22) Suspension; Termination

You may stop using the Services at any time. We may suspend or terminate access (in whole or part) without notice if we believe you have violated these Terms, pose a security risk, or for other legitimate business reasons. Upon termination, Sections that by their nature should survive (including 6, 8–12, 14–21, 23–25) will survive.

23) Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California for any dispute arising from these Terms or the Services.

24) Notices; Electronic Communications

By providing contact information, you consent to receive communications electronically. Legal notices to Moneymap must be sent to [legal@moneymap.io] and Path Financial, Inc., 000 Market Street, San Francisco, CA 94100 (or as updated on the Site).

25) Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose personal information, including with respect to Documents. It is incorporated by reference. If a conflict exists, these Terms govern your permitted use and consents; the Privacy Policy governs data practices.

26) Severability; Waiver; Assignment; Entire Agreement

If any provision is found unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or asset transfer. These Terms (including any referenced policies) constitute the entire agreement between you and Moneymap regarding the Services.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
